Bylaws

I. Name
- The name of the organization shall be the Muddy River Mashers
II. Officers
- The officers of the board shall consist of a President, Vice President, Secretary/Treasurer, and Public Relations Director nominated by the members.
- The responsibilities for those serving in the above elected positions shall be defined as needed by the members.
- Elected officers will serve a term of one year, after which the club shall hold an election for reinstatement of the above officers upon the anniversary of the club's foundation.
- (a)The President shall preside at all Board meetings and perform other duties as associated with the office. (b)The Vice President shall assume the duties of the President in case of the President's absence. (c)The Secretary/Treasurer shall be responsible for the minutes of the meetings, send out club event reminders, and managing club merchandise. They will also keep record of the organization's budget and prepare financial reports as needed. (d) The Public Relations Director shall be responsible for club public relations and finding other ways to increase membership.
III. Meetings
- Regular meetings shall be held on the first and third Tuesday of each month.
- Special events may be held at any time when called for by the Officers or a majority of club members.
IV. Voting
- (a) A majority of club members constitutes a quorum. (b) In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.
- Passage of a motion requires a simple majority (ie, one more than half the members present).
V. Conflict of Interest
- Any officer of the club may not bring forth any matter or action directly pertaining to financial, personal, or official interest in, or conflict (or appearance of a conflict), of such nature that it prevents or may prevent that officer from acting upon that matter in an impartial manner. Failure to observe the aforementioned will result in a compulsory offer to the club members that he/she voluntarily excuse him/herself from any seat held and thereafter refrain from discussion and voting on said item. Any exception to the above will be granted upon a single-case basis by the simple majority of club members present prior to the raising of said matter.
- Under no circumstance, including the above, may any officer make a statement espousing or favoring any one person, group or organization, party, business entity or the views of the aforementioned with the intent to influence club members. Failure to observe this will result in a compulsory offer to the club members that he/she voluntarily excuse him/herself from any seat held.
VI. Amendments
- These by-laws may be amended by a two-third vote of club members present at any meeting, provided a quorum is present and provide a copy of the proposed amendmendt(s) are provided to each club member at least one week prior to said meeting.
