Bylaws

I. Name



  1. The name of the organization shall be the Muddy River Mashers

II. Officers



  1. The officers of the board shall consist of a President, Vice President, Secretary/Treasurer, and Public Relations Director nominated by the members.


  2. The responsibilities for those serving in the above elected positions shall be defined as needed by the members.


  3. Elected officers will serve a term of one year, after which the club shall hold an election for reinstatement of the above officers upon the anniversary of the club's foundation.


  4. (a)The President shall preside at all Board meetings and perform other duties as associated with the office. (b)The Vice President shall assume the duties of the President in case of the President's absence. (c)The Secretary/Treasurer shall be responsible for the minutes of the meetings, send out club event reminders, and managing club merchandise. They will also keep record of the organization's budget and prepare financial reports as needed. (d) The Cyber Relations Director shall be responsible for moderation of the Forum, Facebook, Twitter accounts and to encourage online interaction between the club members and the public. The Secretary will assist in maintaining these accounts. (e) Premium Membership Director informs new members of the program, keep dues current with the Treasurer, watches for affordable resources to add or implement within the Premium Member program and help resolve any problems pertaining to Premium Member resources available.


  5. Officers are required to be present at half (12) of the clubs meetings and one third of the year's total club events; this does not include non-club brews hosted by members. If an officer fails to meet the above criteria, the club will vote on whether to hold another election to refill the position. Reopening the position requires two-thirds of the vote.


  6. Officers receive a free Premium Membership during the time that they hold office.

III. Meetings



  1. Regular meetings shall be held on the first and third Tuesday of each month.


  2. Special events may be held at any time when called for by the Officers or a majority of club members.

IV. Voting



  1. (a) A majority of club members present at the time of a vote or review constitutes a quorum. (b) In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.


  2. Passage of a motion requires a simple majority (ie, one more than half the members present).

V. Conflict of Interest



  1. Any and all members with financial interest, ownership or affiliation with businesses which stand to benefit in any way from an officer's position in the club (e.g. in possession of brewery licenses, liquor retail licenses or associated businesses) are ineligible to run for office. Furthermore, any officer or member of the club may not bring forth any matter or action determined to be directly pertaining to financial, personal, or official interest in, or conflict (or appearance of a conflict), of such nature that it prevents or may prevent that officer or member from acting upon that matter in an impartial manner. Failure to observe the aforementioned will result in a compulsory offer to the club members that he/she voluntarily excuse him/herself from any seat held and thereafter refrain from discussion and voting on said item. Any exception to the above will be granted upon a single-case basis by the simple majority.


  2. Under no circumstance, including the above, may any officer or member make a statement espousing or favoring any one person, group or organization, party, business entity or the views of the aforementioned with the intent to influence club members. Failure to observe this will result in a compulsory offer to the club members that he/she voluntarily excuse him/herself from any seat held.

VI. Amendments



  1. These by-laws may be amended by a two-third vote of club members present at any formal meeting, provided a quorum is present and a copy of the proposed amendment(s) are provided to club members.
